1. About these Terms
These Terms of Service ("Terms") are a binding agreement between you ("you", "user") and the entity that operates the Stove websites, applications, interfaces, and related services (together, the "Services"), referred to in these Terms as "the Company", "we", or "us".
By accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.
The Services provide information about, and access to, Stove Protocol and other Stove products. The Stove tokens themselves are issued by a separate entity (the "Issuer") under separate offering documents. Those offering documents — not these Terms — govern the tokens and your rights as a tokenholder. In the event of any inconsistency between these Terms and the offering documents in respect of the tokens, the offering documents control. See also the Stove Protocol Disclaimers above.
2. Eligibility
You may use the Services only if you are legally permitted to do so. In particular:
- The Services and the tokens are made available only to eligible non-U.S. persons and are not offered or available to Prohibited Persons, as described in the Stove Protocol Eligibility & Access section.
- Acquiring or redeeming Stove tokens requires you to complete the Issuer's onboarding, including know-your-customer / know-your-business ("KYC/KYB") and eligibility verification, and to qualify as a qualified investor where required.
- You represent and warrant that you are not located in, resident in, or accessing the Services from, any prohibited jurisdiction, and that you are not a Prohibited Person or acting for the account or benefit of one.
We may restrict or deny access to the Services to any person or in any jurisdiction at our discretion, including to comply with applicable law.
3. Nature of the Services; no advice
The Services are provided for general information and access purposes only. Nothing made available through the Services is, or should be construed as:
- investment, legal, tax, accounting, or financial advice, or a recommendation to enter into any transaction; or
- an offer or solicitation to buy or sell any token or security in any jurisdiction where this would be unlawful.
The Company does not act as a broker, dealer, exchange, custodian, investment adviser, or fiduciary for you. You are solely responsible for your own decisions and for obtaining your own professional advice.
4. Accounts and onboarding
To access certain features, you may need to complete onboarding and have one or more blockchain wallet addresses allowlisted. You agree to provide accurate, current, and complete information, and to keep it updated. You are responsible for safeguarding your wallet credentials, private keys, and any access credentials issued to you; we are not responsible for any loss arising from your failure to do so.
5. Acceptable use
You agree not to:
- use the Services in violation of any applicable law, regulation, or sanctions regime;
- use the Services if you are a Prohibited Person or to facilitate access by a Prohibited Person;
- engage in market manipulation, fraud, money laundering, or terrorist financing;
- circumvent, disable, or interfere with security or access controls, or attempt to gain unauthorized access to any system;
- introduce malware, scrape, or place unreasonable load on the Services; or
- infringe the intellectual property or other rights of the Company or any third party.
6. Intellectual property
The Services, including their content, design, trademarks, and software (excluding open-source smart contracts published under their own licenses), are owned by or licensed to the Company and are protected by applicable laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. No other rights are granted.
7. Third-party services and links
The Services may reference or link to third-party websites, protocols, wallets, custodians, or service providers. We do not control and are not responsible for third-party services, and your use of them is at your own risk and subject to their own terms.
8. Blockchain risks
You understand and accept the risks inherent in blockchain-based systems, including smart-contract vulnerabilities, network congestion, forks, the irreversibility of on-chain transactions, the volatility and potential total loss of digital assets, and the responsibility to pay your own network (gas) fees. The Company does not control public blockchains and is not responsible for their operation.
9. Disclaimers; no warranties
To the fullest extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Services will be uninterrupted, secure, or error-free. This Section is in addition to, and does not limit, the Stove Protocol Disclaimers above.
10. Limitation of liability
To the fullest extent permitted by law, the Company and its affiliates, and their respective directors, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Services. To the fullest extent permitted by law, the Company's aggregate liability arising out of or relating to the Services will not exceed the lesser of (a) USD 100 or (b) the total fees, if any, you paid to the Company under these Terms in the twelve (12) months preceding the event giving rise to the claim, except to the extent of a final judicial or arbitral determination that the damages resulted from the Company's gross negligence, fraud, or willful misconduct.
11. Indemnification
You agree to indemnify and hold harmless the Company and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party right.
12. Suspension and changes
We may modify, suspend, or discontinue the Services (in whole or in part) at any time, and may update these Terms from time to time. Material changes will be notified by posting the updated Terms with a revised "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance.
13. Governing law and dispute resolution
These Terms are governed by the laws of the British Virgin Islands, without regard to conflict-of-laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its Administered Arbitration Rules in force at the time, with the seat of arbitration in Hong Kong, conducted in English before a single arbitrator. Disputes will be resolved on an individual basis only, and not as a class, collective, or representative proceeding. Nothing in this Section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction.
14. General
These Terms, together with any documents they expressly incorporate, are the entire agreement between you and the Company regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
