The information provided across this documentation is for informational purposes only. It is not, and should not be construed as, an offer to sell, or a solicitation of an offer to buy, any token to or from any person in any jurisdiction in which such an offer or solicitation would be unlawful. Nothing here is investment, legal, tax, or financial advice.
Nature of the tokens. Stove tokens are debt instruments issued by the Issuer that provide holders with economic exposure to the value of an underlying publicly traded security (including the value of dividends, net of applicable withholding tax). Stove tokens are not themselves stocks, ETFs, or ADRs, and do not provide holders with rights to hold or receive the underlying securities, nor with voting rights, shareholder information rights, or other shareholder rights in the underlying company.
Securities law status. Stove tokens have not been registered under the U.S. Securities Act of 1933, as amended (the "Act"), or under the securities or financial-instrument laws of any other jurisdiction. The tokens may not be offered or sold in the United States or to U.S. persons unless registered under the Act or pursuant to an available exemption. The tokens are offered and sold only outside the United States to non-U.S. persons in reliance on Regulation S under the Act. Other jurisdiction-based prohibitions and restrictions apply (see Eligibility & Access). The Issuer is not registered as an investment company under the U.S. Investment Company Act of 1940, as amended, or under the laws of any other jurisdiction.
Offering documents control. The complete terms governing the tokens — including the rights and obligations of holders, limitations on recourse against the Issuer, and dispute-resolution provisions — are set out in the offering documents, which are made available to investors who complete onboarding. In the event of any inconsistency between this documentation and the offering documents, the offering documents control.
Risk. Acquiring, holding, and disposing of Stove tokens involves risk, including market risk in the underlying securities, risks relating to blockchain technology and smart contracts, liquidity risk, and regulatory risk. Holders should not invest more than they can afford to lose, and should consult their own professional advisors.
Taxes. Each holder is solely responsible for determining, reporting, and satisfying their own tax obligations in connection with acquiring, holding, or disposing of Stove tokens, and should consult their own tax advisor.
